Terms of Service.

The terms for using Ragionex while it is in free developer preview. Written to be read, not skimmed.

The agreement.

These Terms of Service ("Terms") govern your access to and use of Ragionex ("Ragionex", "we", "us") - our Knowledge and Memory products, APIs, dashboards, and websites (together, the "Service").

By creating an account, requesting an API key, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm you are authorized to do so, and "you" means that organization.

Your use of the Service is also subject to our Privacy Policy, which explains how we process personal data. These Terms do not restate it; where data handling is relevant, we cross-reference it.

What Ragionex is.

Ragionex is a context engine. It returns ground-truth context for AI applications to reason over. Ragionex does not generate answers and is not a chatbot or decision-making system. It returns relevant source context; whatever your own AI or application then does with that context is your responsibility.

Knowledge

Knowledge performs semantic search over a pre-processed body of documentation and returns the most relevant passages with their source references. The current public dataset is built from third-party documentation. Knowledge is accessed with a shared API key.

Memory

Memory is a persistent semantic-memory API for AI agents. You write content via the Memory API; we index it so your agent can retrieve it later by meaning. Memory is accessed with a per-user API key prefixed rgx_memory_, tied to your account.

The Service is currently offered as a free developer preview and is under active development.

Accounts & sign-in.

Account creation is passwordless. You enter your email address and we send you a one-time code (OTP); entering a valid code signs you in. Your first successful sign-in automatically creates your account.

  • You must provide an email address you control and keep it current; account communications and API keys are sent to it.
  • One account per person. You may not create multiple accounts to exceed plan limits or evade suspension.
  • You are responsible for activity that occurs under your account and for maintaining access to the email used to sign in.
  • You must be old enough to enter a binding agreement where you live, and your use must be lawful there.

API keys & security.

Your API key authenticates requests to the Service. Treat it as a secret credential.

  • Keep your key confidential. Do not embed it in public client-side code, public repositories, or share it with unauthorized parties.
  • You are responsible for all usage incurred under your key, including by anyone you give it to.
  • If you believe your key is exposed or compromised, contact us at [email protected] so it can be rotated.
  • We may revoke or rotate a key where required to protect the Service or other users.

Usage limits & resets.

The Service is offered in tiers. The current tiers and their limits are described on our pricing page, which forms part of these Terms. If anything on the pricing page or in our marketing conflicts with these Terms, these Terms govern.

A Free tier is live during the developer-preview phase. Free-tier usage is metered by requests - writes, updates, and searches each count as one request - against per-window allowances, together with a per-memory content-length limit. Stored memories and projects are not capped on the Free tier. Because the Service is in active development, Free-tier limits and features may change; we will give reasonable notice of material reductions.

Request windows and resets

Request allowances are counted against rolling windows rather than a monthly period. Each tier defines one or more windows - currently a 5-hour window and a weekly window - and your request counter for each window returns to zero once that window's period elapses (a tumbling reset), independently of your signup date. There is no monthly anniversary reset. The per-memory content-length limit applies to each memory and is not affected by these windows.

We may apply custom limits to an individual account at our discretion. Reaching a limit does not delete your data; it pauses the limited operation until the next reset or a limit change.

Promotional offers - including any "free forever", "lifetime", early-access, or first-sign-up grant described on the pricing page or elsewhere - are provided at our discretion as part of the developer preview and are not a vested or irrevocable right. Where we describe an offer as "lifetime" or "forever", we mean for as long as we continue to offer the relevant tier and operate the Service, and your account remains active and in good standing; such an offer does not survive discontinuation of that tier or the Service, and we may modify or end any promotional offer, giving reasonable notice of a material change where practicable.

Acceptable use.

When using the Service, you agree not to:

  • Use the Service for any unlawful purpose, or to store, transmit, or retrieve content that is illegal, infringing, or that you do not have the right to use;
  • Upload to Memory any content you are not permitted to process, including third-party personal data you have no lawful basis to handle;
  • Exceed, circumvent, or attempt to evade rate limits, usage limits, or access controls, including by creating multiple accounts or sharing keys to pool limits;
  • Probe, scan, overload, or disrupt the Service or its infrastructure, or attempt to gain unauthorized access to it or to other users' data;
  • Reverse engineer, decompile, scrape, or attempt to extract the underlying datasets, models, prompts, or source corpus of the Service, except where this restriction is prohibited by applicable law;
  • Resell, sublicense, or provide the Service to third parties as your own product (except as your plan permits), or use the Service to build a competing dataset by bulk-harvesting its outputs.

We may investigate suspected violations and take proportionate action, including limiting, suspending, or terminating access.

Your content & data.

"Your Content" is the data you submit to the Service - principally the content you write to Memory, plus your account details and search queries.

  • You own Your Content. We do not claim ownership of it.
  • You grant us a limited, non-exclusive license to host, process, index, and retrieve Your Content solely to provide the Service to you.
  • You are responsible for Your Content: that you have the right to submit it, and that processing it through the Service is lawful.
  • We process personal data within Your Content as described in our Privacy Policy. Our data-processing infrastructure is located in the European Union.
  • You can delete Your Content via the API, and you can request account deletion, as described in the Privacy Policy.

Intellectual property.

As between you and us, we own the Service and everything that makes it work: the software, APIs, dashboards, the embedding and indexing pipeline, the prompts, the Ragionex name, logo, and site content. We grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. No other rights are granted by implication.

The documentation indexed by Knowledge is authored and owned by its respective third parties and remains subject to their licenses and terms. We surface that content as context together with its source reference; we do not claim ownership of it, and your use of any third-party content returned by Knowledge must respect the rights of its original author.

Accuracy & AI disclaimer.

Read this

Ragionex returns context drawn from source documentation. We are not the author of that source content and we do not guarantee that it is accurate, complete, current, or fit for your purpose. Ragionex does not generate answers. Any answer, decision, or output produced by your own AI or application from the context we return is generated by you, and you are responsible for reviewing and verifying it before relying on it.

Semantic search is probabilistic: the most relevant passages are returned, but relevance is not a guarantee of correctness or completeness for any given query. Do not rely on the Service as the sole basis for decisions that require professional, legal, medical, financial, or safety-critical certainty without independent verification.

Availability & changes.

The Service is provided on an "as available" basis and is under active development, with parts offered as a developer preview. We do not currently commit to a guaranteed uptime or service-level agreement. We may add, change, suspend, or remove features, datasets, or limits, and we may perform maintenance that temporarily interrupts the Service. Where a change materially reduces the core functionality you rely on, we will give reasonable notice where practicable.

We may also change, introduce, or discontinue tiers, pricing, datasets, and the developer preview itself, in whole or in part, at our sole discretion. Nothing in the Service, the pricing page, or our marketing guarantees that any feature, tier, dataset, or limit - or the Service as a whole - will remain available.

Disclaimer of warranties.

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the context it returns will be accurate or complete.

If you use the Service as a consumer, nothing here excludes or limits any statutory right or remedy you have under mandatory consumer-protection law; those rights remain available to you regardless of the disclaimer above.

Limitation of liability.

The Service is currently provided to you free of charge. To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any mandatory liability owed to consumers.

Suspension & termination.

You may stop using the Service at any time and may delete your data and request account deletion as described in the Privacy Policy.

We may suspend or terminate your access, with or without notice depending on severity, if you materially breach these Terms, use the Service abusively or unlawfully, or where we must do so to protect the Service or other users. Where reasonable and lawful, we will give you notice and an opportunity to remedy a breach first.

In addition, because the Service is a free developer preview under active development, we may suspend, restrict, or discontinue your access to it - or the Service as a whole - at our sole discretion, with or without cause and with or without prior notice, including to protect the Service or other users, to comply with law, or to end the preview. To the extent permitted by law, we are not liable to you for any such suspension, restriction, or discontinuation.

Sections that by their nature should survive termination - such as intellectual property, disclaimers, and limitation of liability - continue to apply.

Changes to these terms.

We may update these Terms as the Service and the law evolve. Minor or non-material changes take effect when we post them. When we make a material change, we will update the "Last updated" date above and give reasonable notice by a method appropriate to the change before it takes effect. Your continued use of the Service after a change takes effect means you accept the updated Terms; if you do not accept a material change, you may stop using the Service and close your account.
